Who we are

Pickie is a creator commerce service operated by Zerohorizon Labs Private Limited, an Indian company limited by shares (CIN U62012DC2026PTC471425). Reach us at hello@woohl.com.

01

Agreement and scope

These Terms and Conditions govern your access to and use of the Pickie website, creator workspace, storefront features, product discovery tools, affiliate links, campaign tools, communications and related services (together, the Service). Pickie is operated by Zerohorizon Labs Private Limited, referred to in these terms as Pickie, we, us or our. By creating an account, accessing a creator tool or otherwise using the Service, you agree to these terms and our Privacy Policy.

If you use the Service on behalf of a brand, agency or other organisation, you confirm that you have authority to act for that organisation and that it is bound by these terms where applicable. A separate written agreement may govern a specific brand campaign or business service. If that agreement conflicts with these terms on the same subject, the written agreement controls for that subject.

Please read the terms that apply to a particular product, campaign or offer before joining it. The Service may include features that are available only to certain users or locations. We may introduce additional feature terms when we make a new feature available; those terms will be shown with that feature and form part of your agreement when you use it.

02

Eligibility and account creation

You must be at least 18 years old and legally able to enter a binding agreement to create a creator account. You must provide accurate, current and complete information during signup, onboarding and any verification process, and keep it up to date. We may ask for information needed to verify your identity, business details, eligibility, payment destination or compliance with applicable law before enabling a feature or releasing a payout.

You are responsible for the activity that occurs under your account and for keeping your login credentials secure. Do not share access, impersonate another person or create an account for someone without authority. Tell us promptly at hello@woohl.com if you believe your account or a link associated with it has been accessed without permission. We may temporarily restrict access while investigating a suspected compromise.

We may reject an application or limit access to a feature where information cannot be verified, legal requirements cannot be met, or we reasonably believe use of the Service would create fraud, safety or platform integrity risks. A brand may set additional criteria for its campaigns. Meeting the general account requirements does not guarantee acceptance into every campaign.

03

What the Service provides

Pickie provides technology that helps creators discover participating products, organise recommendations in a storefront, generate or manage eligible affiliate links, apply to brand campaigns and follow related performance and earnings. We may also provide analytics, notifications, support and tools for brands to present products and campaigns. Features, catalog entries and participation opportunities may change as partners join, leave or update their offers.

A storefront is a presentation and discovery tool. Unless a checkout expressly states otherwise, a purchase is completed with the relevant merchant or other third party. Product supply, delivery, returns, warranties, taxes charged on a purchase and customer service for the underlying item are primarily governed by the merchant's terms. Pickie does not guarantee that a listed product remains available at a shown price.

We may improve, pause or discontinue parts of the Service. Where a material change affects existing paid or earned entitlements, we will handle those entitlements under the applicable terms and law. We cannot promise that every feature will be continuously available, error free or supported on every device.

04

Your storefront and public profile

You may select a handle, add a profile, choose products and organise collections within the controls provided. You are responsible for the information and recommendations you publish, including their accuracy, permissions and compliance with advertising rules. Your public profile, handle, bio, social links, selected products and collections can be viewed and shared by visitors. Do not put confidential information in a public field.

Handles are assigned subject to availability and platform rules. A handle does not transfer ownership of a trademark, domain or account name to you. We may change or reclaim a handle where reasonably necessary to resolve impersonation, infringement, security issues or misleading use, and will try to notify the account holder where practical.

You can remove products, edit collections and update your profile using the available tools. Removing a product from your storefront does not necessarily invalidate a link already shared elsewhere, and it does not erase historical reporting needed to reconcile orders, commissions or legal records. If a product or campaign becomes unavailable, we may remove or update its listing or disable related links.

05

Content you provide

You retain rights you have in text, images, logos, videos, reviews, campaign submissions and other content you provide to the Service. You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, display and distribute that content as needed to operate, promote and improve the Service and the storefront or campaign feature for which you submitted it. This licence lasts while the content is available on the Service and for a reasonable period needed for backups, legal records, dispute handling or already-authorised campaign use.

You confirm that you have the rights and permissions needed for your content, including permissions from people pictured or named in it and licences for music, images and brand assets. Do not upload content that infringes rights, is unlawful, deceptive, hateful, sexually exploitative, malicious or otherwise violates our reasonable platform rules. Brand assets supplied for a campaign may be used only for that campaign and in accordance with its brief and the brand's instructions.

We may review, reject, remove or restrict content where we reasonably believe it violates these terms, a campaign brief, third-party rights or applicable law. We may also act on a valid legal request. We do not undertake to review every submission before it appears, and our decision to display content does not endorse its claims.

07

Brand campaigns and deliverables

Campaigns may have separate eligibility requirements, deadlines, deliverables, review steps, usage permissions, payment conditions and content guidelines. Read the full brief before applying or accepting. An application is a request to participate and is not a promise of selection, work or compensation. You should not begin paid deliverables until the campaign indicates that you have been selected or a separate agreement confirms the work.

Submit authentic work that meets the agreed brief and any disclosure requirements. A brand or Pickie may request a reasonable revision where the content does not meet the brief, legal requirements or stated quality standards. Campaign rewards, if any, depend on the campaign terms and verified completion. Product samples, access or other non-cash benefits may have tax or disclosure consequences for you.

A brand's instructions cannot require you to make false claims or break the law. If a brief conflicts with a legal requirement or the rules of a publishing platform, contact us before posting. We may pause or remove a campaign, submission or reward if fraud, unlawful content or a material breach is reasonably suspected while the matter is reviewed.

08

Commission calculation and status

Commission rates and eligibility conditions vary by product, merchant and campaign. The rate or reward shown in the relevant listing or written brief at the applicable time governs, subject to its stated conditions. We may change rates for future activity; a new rate does not retroactively replace a commission already earned under a prior rate unless the original terms allow adjustment for an underlying return, cancellation, fraud or reporting correction.

A reported order or commission may initially appear as pending. It becomes available only after the partner's validation and settlement process and our reconciliation, subject to the applicable return or cancellation period, fraud checks and lawful deductions. An order that is returned, cancelled, unpaid, duplicated, ineligible or not attributed under the applicable rules may generate no commission or may reverse a provisional amount.

Your dashboard is a useful record of current information, but temporary reporting delays or corrections can occur. If you think a transaction is missing or incorrect, contact us with the link, approximate date, merchant and any non-sensitive supporting details. Do not send a customer's full payment card information. We will investigate against available partner records; we cannot award a commission without sufficient evidence of an eligible, attributed transaction.

09

Withdrawals, taxes and payment details

The current creator withdrawal form requires at least ₹500 in available funds and offers bank transfer or UPI where supported. We may change available methods or minimums for future requests by updating the Service. Before submitting, review the gross amount, any displayed deductions and expected net payment. A submitted request may undergo additional verification and review before transfer; the time needed can vary by provider, bank, holidays and compliance checks.

You must provide a payment destination that you are authorised to use and keep it accurate. We may hold or return a payment where details are incomplete, a transfer fails, an account is under review, or payment would breach law or partner requirements. If a transfer fails, we will work to restore the amount to an available balance or arrange a lawful alternative after reconciliation.

You are responsible for your own tax filings and obligations arising from earnings, rewards or non-cash benefits. We may deduct or withhold tax where legally required, including applicable tax deducted at source, and provide statements or invoices through the Service where available. Taxes and deductions may differ by user status and transaction type. The calculator and any projected earnings are illustrative only and are not a guarantee of income.

10

Brand and merchant responsibilities

A brand or merchant supplying products, campaigns, content or data must have the right to do so and must provide accurate descriptions, prices, terms, eligibility rules and material restrictions. It remains responsible for the goods or services it sells, fulfilment commitments, customer support, product safety, statutory notices, advertising claims and any rights it grants in campaign materials.

Brands must not ask creators to conceal sponsorship, fabricate experience, manipulate engagement or make claims that cannot be supported. Campaign performance and creator participation are affected by many factors, so Pickie does not guarantee a particular number of views, orders or sales unless a separate written agreement expressly says so. Commercial fees and brand-specific obligations may be set out in a separate order or agreement.

11

Prohibited activity

Use the Service honestly and lawfully. The following conduct is prohibited, whether performed directly or through another person, tool or account:

  • Creating fake clicks, orders, leads, reviews, followers, accounts or campaign submissions; self-dealing or colluding to inflate rewards
  • Using bots, scraping, excessive automated requests, malware, credential harvesting or attempts to bypass access controls and rate limits
  • Sending spam or placing links in contexts where they are unauthorised, deceptive or contrary to a platform's rules
  • Publishing unlawful, infringing, misleading, abusive or privacy-invasive material, or sharing another person's personal data without a lawful basis
  • Interfering with attribution, altering tracking code, reverse engineering restricted systems or misrepresenting your connection to Pickie, a brand or a merchant
12

Platform and intellectual property

The Service, its software, design, interfaces, databases, original content, trademarks and branding belong to us or our licensors. We give you a limited, revocable, non-exclusive and non-transferable permission to use the Service for its intended purpose while you comply with these terms. This permission does not give you ownership of the Service or permission to copy, resell or build a competing product from its protected elements.

You may use product imagery, campaign assets and merchant marks only to the extent the relevant owner permits and only in connection with the approved product or campaign. If you believe material on the Service infringes your rights, email hello@woohl.com with your contact details, the material's location, the right you own and a description of the issue. We may ask for further information before acting.

13

Privacy and communications

Our Privacy Policy explains what personal data we collect, why we use it, with whom we share it and how to make a request. By using the Service, you acknowledge that policy. You are responsible for handling any personal data you obtain through campaigns, customer interactions or other authorised features in accordance with law and any applicable written agreement; access to data through Pickie does not authorise unrelated use.

We may send account, security, campaign, transaction and payout messages that are needed to operate the Service. We may also send optional product news or marketing where permitted, subject to the choices made available to you. You can manage available notification settings or contact us about unwanted non-essential messages. Service notices may still be sent when necessary for your account or an ongoing transaction.

14

Third-party services and links

The Service may link to a merchant checkout, social platform, payment provider, analytics provider or other third-party site. Those parties operate under their own terms and privacy notices. We do not control their content, availability, pricing or decisions. Review their conditions before using their services or entering payment details.

An integration may stop working if a partner changes its systems or permissions. We may replace or remove an integration without guaranteeing equivalent functionality. Nothing in these terms makes Pickie the seller of a third-party product unless we expressly identify ourselves as the seller in the relevant transaction.

15

Reviews, restrictions and suspension

We may investigate suspected violations, inaccurate information, fraud, security threats, legal complaints or partner disputes. During an investigation we may restrict a link, content, campaign participation, withdrawal or account access for a reasonable period. We may request documents or an explanation relevant to the concern and consider the information provided before making a final decision where practical.

Depending on the circumstances, we may remove content, reverse ineligible provisional earnings, suspend features or close an account. We may act immediately where necessary to protect users, partners or systems or to comply with law. A restriction does not itself determine ownership of funds: any earned, eligible amount will be handled after reconciliation and subject to lawful deductions or set-off under an applicable agreement.

If you believe we made a mistake, write to hello@woohl.com with the account email and relevant facts. We will review the request and respond through an appropriate support channel. We may be unable to share confidential fraud signals, another user's personal data or information restricted by a legal process.

16

Ending your use of Pickie

You may stop using the Service at any time. You can remove storefront content and deactivate links using available controls, and request account closure by contacting hello@woohl.com. Before closing an account, resolve open campaign work and review pending commissions or withdrawals. Closing an account does not make a pending, unverified commission immediately payable.

We may terminate or discontinue an account under these terms, after notice where reasonable, or immediately where required for serious misuse or legal reasons. On closure, permissions to access the Service end. We may retain information and transaction records for periods required for settlement, tax, dispute resolution, security or law, as explained in the Privacy Policy. Provisions that by their nature should survive closure, including accrued payment rights, ownership, liability limits and dispute provisions, continue to apply.

17

Availability and warranties

We work to keep the Service useful and reliable, but technology and partner systems can fail or change. To the extent permitted by applicable law, the Service is provided on an as-available basis without an assurance of uninterrupted access, a particular business result, a fixed level of earnings or the continued availability of a product, campaign or integration. We do not exclude any warranty, consumer right or remedy that applicable law does not allow us to exclude.

Information on the Service may be updated as partners report new data. Estimates, examples and preview content explain features and possible scenarios; they are not live inventory, financial advice or promises of actual results. You should independently assess whether a product, campaign or commercial decision suits your circumstances.

18

Responsibility and limits of liability

Each party remains responsible for its own breach of these terms and its own unlawful conduct. To the maximum extent permitted by law, Pickie will not be liable for indirect, special or consequential losses, lost profits, lost opportunity or loss of data arising from use of the Service, where those losses were not reasonably foreseeable when the agreement was made. This does not limit liability that cannot lawfully be limited, including liability for fraud or wilful misconduct.

Where the law permits a financial cap, our aggregate liability for a claim arising from the Service will not exceed the greater of the amount you paid us for the Service during the 12 months before the event giving rise to the claim or ₹10,000. This cap does not reduce a creator's right to receive eligible, finally settled commission that is owed under the applicable offer terms. You agree to take reasonable steps to reduce any loss and to notify us promptly of a problem so we can investigate.

19

Claims arising from your activity

If your unlawful content, false representations, infringement of another person's rights or material breach of these terms leads to a third-party claim against us, you agree to reimburse reasonable losses, costs and expenses that result from that claim to the extent permitted by law and attributable to your conduct. We will notify you of a claim where reasonably possible and allow you a reasonable opportunity to participate in its defence, subject to our right to control matters affecting the Service and other users.

This provision does not require you to reimburse us for loss caused by our own negligence, misconduct or breach. Nothing here prevents a person from using a legal remedy that cannot be waived by contract.

20

Changes to these terms

We may update these terms to reflect new features, partner arrangements, legal requirements or changes in our operations. The effective date at the top of this page shows when the current version applies. For a material change, we will use a reasonable method to bring it to affected users' attention, such as an in-product notice or email, before it takes effect where practical.

Continued use after updated terms take effect means you accept them, unless applicable law requires a different form of consent. If you do not agree, stop using the affected features and request account closure. A change to these general terms does not erase a payment obligation already accrued under a completed eligible transaction.

21

Governing law and disputes

These terms are governed by the laws of India. Before starting formal proceedings, please write to hello@woohl.com and give us a reasonable opportunity to understand and resolve the issue. We will also try to raise a dispute with you directly where appropriate. This informal process does not prevent either party from seeking urgent relief or using a remedy within a time limit set by law.

Subject to any mandatory law that gives you another forum or remedy, courts with jurisdiction in Delhi, India will have jurisdiction over disputes arising from these terms. If a term is found unenforceable, the remaining terms continue to apply as far as legally possible. A delay in enforcing a right is not a waiver of that right. These terms and any applicable feature or written campaign terms form the agreement for the relevant use of the Service.
